EXTERNAL CODE OF CONDUCT’ FOR CONTRACTING PARTIES
1. In this Code of Conduct a reference to ‘we’, ‘us’ or ‘our’ is to ‘pin’ (each as defined below), and any reference to ‘you’ or ‘your’ is to the other contracting party engaging with pin.
2. ‘pin’ means Property Investors Network Ltd (incorporated in England and Wales under company number 07106363).
3. In all your dealings with us you must:
3.1. act professionally, lawfully and diligently and use commercially reasonable efforts to promote our business, products and services;
3.2. unless you are prevented from doing so because of events, circumstances or causes beyond your reasonable control, comply with any commitments you have made to attend appointments, meetings, events, gatherings (and similar) at the times, dates, locations and in the manner you have agreed to;
3.3. only use any IT systems, equipment and/or materials we provide or make available to you, for legitimate purposes in connection with our contractual relationship;
3.4. comply with our reasonable and lawful instructions regarding our property, including instructions in relation to use of any promotional materials, promotional codes, IT systems or digital assets, equipment and/or materials that we provide or make available to you;
3.5. notify us in advance, and provide examples of, any promotional materials you wish to use in connection with our contractual relationship, for our approval (not to be unreasonably withheld or delayed) prior to use;
3.6. notify us promptly of any complaint or concern raised by any other person, refrain from making any material statement or admission in relation to such complaint or concern, and provide us with all reasonable assistance to resolve it;
3.7. be transparent with us in all your business dealings and provide promptly at our request such financial and other information concerning you and your business (including information about any bankruptcy or insolvency) as we may reasonably and lawfully request in connection with our existing or proposed contractual relationship;
3.8. pay all amounts due to us in full without any set-off, counterclaim, deduction or withholding (other than any deduction or withholding of tax as required by law);
3.9. keep us informed of any changes to your contact details.
4. In all your dealings with us you must not:
4.1. knowingly infringe the rights of any other person;
4.2. allow your interests to conflict with ours in any material way;
4.3. incur any obligation or make any commitment on our behalf without our prior written consent;
4.4. make any statement or representation or give any warranty or guarantee to any person in relation to our business, products or services without our prior written consent;
4.5. use any of our intellectual property or promotional materials except as authorised or approved by us;
4.6. promote your own goods and services at any of our events or gatherings or via any of our systems or services without our prior written consent;
4.7. gather any personal data of attendees at any of our events or gatherings or via any of our systems or services without our prior written consent;
4.8. gather any personal data of attendees at any of our events or gatherings or via any of our systems or services without our prior written consent;
4.9. involve us in or seek to hold us responsible for any dispute you have with any other person;
4.10. seek to undermine any person who works with us or provides services to us or interfere with their activities or relationship with us or act or refrain from acting in any way to harm their reputation;
4.11. seek to undermine us in any way or compete with our business, products or services or act or refrain from acting in any way to harm our reputation.
5. When interacting with any other person in a professional capacity (whilst under contract with pin) you must:
5.1. act in a professional manner
5.2. treat people fairly and with integrity and respect (including in relation to their time, views, values, privacy and confidentiality);

Important note: Any material failure to comply with this ‘External Code of Conduct’ will constitute a ‘material’ breach of any contract we have with you and will be grounds for termination of the contract.
